Investment Trusts

Maitland prides itself in developing a personable and proactive service that is tailored to the needs of each individual client. It has an experienced Company Secretarial team providing support and counsel to Directors of Investment Trusts. We will undertake the fulfillment of all statutory obligations on behalf of an Investment Trust and provides assistance with the challenges of adapting to an ever changing regulatory environment.

Legal Entity Compliance

Ensuring that Trusts comply with the requirements of the Companies Acts, FCA regulations, the Listing Rules and other relevant statutory and regulatory requirements (where necessary liaising with professional advisers as required). In addition, the Team provides guidance on changes to regulation and corporate governance as required.

Meetings Management

Preparation and collation of papers and reports for meetings of the Board and Committees (Audit, Management Engagement, Nominations and Remuneration) and shareholder meetings (including AGMs). Attendance at meetings, taking minutes of the proceedings, and advising on regulation and corporate governance as required. The Team can provide bound hard copy meeting packs as well as soft copies which are compatible with laptops and tablet computers.

Financial Reporting

Establishing a timetable to co-ordinate the production of the Financial Reports liaising with the Board, Investment Managers, Fund Accountants and Auditors. The Team will draft the Strategic Report, Directors’ Report, Corporate Governance Statement, Directors’ Remuneration Policy, Annual Report on Remuneration, Report of the Audit Committee and the Notice of Annual General Meeting for review by client Directors.  We will also liaise with printers to ensure that documents are produced to a high standard and in a timely manner.

Regulatory Filings and Company Announcements

Preparation and filing of Statutory Forms at Companies House and with the FCA.  Drafting and issuing required announcements on the London and overseas Stock Exchanges in line with agreed authority levels, with major announcements being submitted to a client Board before issue.  Maintenance of a Trust’s data protection registration with the Information Commissioner.

Statutory Registers

Maintenance of Statutory Registers, including liaison with Registrars regarding Registers of Members, Allotments,  Transfers, new issues of equity or debt instruments. We will also liaise with HM Revenue & Customs on required stamp duty payments.

New Directors / Board Appraisal

Provision of induction training following appointment. Assisting with Director internal performance appraisal process and assistance with obtaining an independent external Board appraisal.


Liaising with Registrars and Share Scheme Administrators on dividends and/or interest payments including review of dividend stationery, arranging for appropriate funding to be in place, and checking that payments are made appropriately.


Responding to shareholder correspondence in conjunction with Chairman, Investment Manager or other Board members as appropriate, and ensuring the appropriate management of Company correspondence and legal notices issued to the Company.
